ROUTE 2 HYUNDAI “12-12-12 RAFFLE” CONTEST OFFICIAL RULES TO ENTER OR WIN ENTRANT MUST PURCHASE A NEW OR USED RETAIL VEHICLE FROM ROUTE 2 HYUNDAI DURING THE APPLICABLE CALENDAR MONTH DURING THE ELIGIBILITY PERIOD. NO ADDITIONAL CONSIDERATION IS REQUIRED TO ENTER THE CONTEST. ODDS OF WINNING DEPEND ON THE NUMBER OF ELIGIBLE ENTRIES RECEIVED. VOID WHERE PROHIBITED. 1. CONTEST: The 12-12-12 Raffle is a contest through which a monthly prize winner will be determined in a random drawing from among all eligible entries received during the applicable calendar month (the “Contest”). The prize to be awarded shall be the prize designated from time to time by Route 2 Hyundai, Inc. 743 Main Street, Leominster MA, 01453 (“Route 2”) in print media, radio, television or online advertising and/or as set forth on the Entry Form described herein (the “Prize”). 2. HOW TO ENTER: Entrants are required to purchase a new or used retail vehicle from Route 2 during the Eligibility Period (defined below) as a condition to participation in the Contest’s monthly drawing. No other consideration shall be required to participate in the Contest. You will be officially entered into the Contest upon execution of an Entry Form provided to you at the conclusion of the sale of a qualifying vehicle. Route 2 in its sole discretion may decide to disqualify the entry for any reason. Use of Name and Likeness of Entrant: As a condition of entry, Entrants irrevocably grant to Route 2 and its affiliates, legal representatives, assigns, agents and licensees a worldwide, royalty-free, non-exclusive, sublicensable, unconditional, perpetual and transferable right and license to: reproduce, encode, store, modify, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise use or reuse (without limitation, as to when or to the number of times used), the Entrant’s submitted name, home town, image, likeness, and statements in Contest promotions and Route 2 advertisement and agrees to never sue or assert any claim against Route 2’s use of those materials. Eligibility Period: The Contest shall begin at [12:00 a.m. on January 1, 2012 and shall end at 11:59 p.m. on December 31, 2012] (the “Eligibility Period”) and shall be conducted on a monthly basis. Route 2 will advertise the prize to be awarded at the conclusion of the applicable calendar month during the Eligibility Period in print, online, television and radio advertising, or on advertising present at Route 2’s place of business at 743 North Main Street, Leominster, MA 01453 and as specified on the Entry Form. All decisions of Route 2 in conducting the Contest will be final and binding. Entrants are limited to one entry per new or used retail vehicle purchased during the then-current month and shall participate only in the monthly Drawing for the month during which the passenger vehicle was purchased by the Entrant. An Entrant may participate in further monthly Drawings only by purchasing additional passenger vehicles from Route 2 during such subsequent months. Winner; Presence Required to Win: The winner of the monthly Drawing will be selected at [6:00 p.m.] at Route 2’s dealership at 743 North Main Street, Leominster MA 01453 by random drawing on the respective month on which Route 2 is open for business, and such drawing shall be conducted by an employee, representative or other individual selected by Route 2 in its sole discretion (the “Drawing”). If an Entrant is selected during the Drawing, but is not present at the Drawing or otherwise declines the Prize, such Entrant shall be automatically disqualified and a different Entrant shall be selected as the winner. 3. ELIGIBILITY: The Contest is open only to legal residents of the 50 United States and the District of Columbia (excluding Puerto Rico and all other territories), who are 18 years of age or older, and who have purchased a new or used retail vehicle from Route 2 at any time during the applicable calendar month during the Eligibility Period (each, an “Entrant”). Employees, agents, officers and directors of Route 2, its affiliates, subsidiaries, franchisees, divisions, advertising, promotional, fulfillment and marketing agencies, their immediate families (parent, child, sibling or spouse) and persons living in the same households as such individuals (whether related or not) are not eligible to participate in the Contest. By entering the Contest, participants agree to release, discharge and hold harmless Route 2, its affiliates, subsidiaries, franchisees, divisions, retailers, agencies and their respective officers, directors, employees and agents, from any and all damages whether direct or indirect, which may be due to or arise out of participation in the Contest or any portion thereof, or the acceptance, use/misuse or possession of Prizes. By participating, you agree to these Official Rules and to the decisions of Route 2, whose decisions are final and binding in all respects. Void in Puerto Rico, all other territories and where prohibited by law, rule or regulation. All federal, state and local laws and regulations apply. 4. PRIZE: Route 2 will award one (1) Prize to one winner for a given calendar month during the Eligibility Period. No substitution of prizes, except at the discretion of Route 2. Prizes may not be redeemed for substitute value. 5. PRIZE AWARDING: Limit one Prize per Entrant. Route 2 will award Prizes only upon winner confirmation, verification and final approval. No substitution, transfer of any Prize or cash alternative permitted, except by Route 2 who reserves the right, in its sole discretion, to substitute a Prize of equal or greater value, if Prize, or portion of Prize, becomes unavailable, or for any other reason. The winner will be required to be present at the Drawing and to satisfactorily complete an Affidavit of Eligibility showing that winner has complied with these rules, and any reasonably required documentation including tax forms. The potential winner then and only then becomes the “Winner”. Route 2 reserves the right to revoke the Prize in the event of material misrepresentation. If the potential winner otherwise fails to fully comply with these Official Rules, he/she will forfeit that Prize and the Prize may be awarded to an alternate winner as selected by Route 2. 6. GENERAL CONDITIONS: Entrants found tampering with or abusing any aspect of this Contest, as solely determined by Route 2, will be disqualified. If disqualified for any of the above abuses, Route 2 reserves the right to terminate Entrant's eligibility to participate in the Contest. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be in violation of criminal and civil law, and, should such an attempt be made, Route 2 reserves the right to seek damages from any such person to the fullest extent permitted by law. Route 2’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Route 2 reserves the right to terminate, cancel, suspend and/or modify the Contest if any fraud or other problem corrupts the administration, security, or proper play of the Contest, as determined by Route 2 in its sole discretion. In such event, Route 2 reserves the right to award the Prize to an Entrant whose submission was received prior to the time of the impairment. Only the stated number of Prizes will be awarded. In no event will more prizes be awarded than those designated by Route 2. In the event of a dispute as to the identity of an Entrant, the entry in question will be deemed submitted by the individual executing the Entry Form. The Entrant shall be the natural person completing the Entry Form. A potential Winner may be requested to provide Route 2 with proof that the potential Winner is the authorized Entrant associated with the winning entry. By entering the Contest and/or accepting the prize, Entrants agree to: (a) be bound by these rules; (b) release Route 2, its subsidiaries, affiliates, advertising and promotion partners, fulfillment and/or judging agencies, agents and their estate and/or family members from all liability, claims, action, or proceedings relating to the Contest and from injuries or damages arising in connection with or relating to participation in the Contest, or use or misuse of the prize; and (c) waive any right to claim ambiguity in the Contest or these Official Rules. By accepting the Prize, winner further acknowledges that Route 2 and any other entity involved with this Contest have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied in fact or in law, relative to the Prize or to any portion thereof, including but not limited to its quality, merchantability, mechanical condition, or fitness for a particular purpose including, without limitation, use of any equipment associated with the prize. All taxes and other expenses not specified herein, including federal, state, local, and licenses and registrations, are the sole responsibility of the winner. Route 2 reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest, to void suspect entries and/or cancel, terminate or suspend any portion of this Contest should a virus, bugs, non-authorized human intervention or other causes beyond the control of Route 2 corrupt or impair the administration, security, fairness or proper play of the Contest and, in any such event, at its discretion, select winners from eligible, non-suspect entries received prior to the event requiring such termination, cancellation or suspension. Route 2 is not responsible for typographical or other errors in the offer or administration of this contest, including but not limited to errors in advertising, the Official Rules, the selection and announcement of winners, or the distribution of any Prize. All entries become the property of Route 2 and will not be acknowledged or returned. Route 2 and each of its officers, directors, affiliates, related entities, partners, partnerships, principals, representatives, agents, licensees, Route 2s, successors and assigns (i) make no warranty, guaranty or representation of any kind concerning any prize, (ii) disclaim any implied warranty, and (iii) are not liable for injury, loss, or damage of any kind resulting from the acceptance or use of any prize or from participation in this contest. 7. TAX INFORMATION: All federal, state, local, and other taxes on prizes are the sole responsibility of the applicable winner. Route 2 shall report the amount of the Prize to appropriate taxing authorities pursuant to applicable law. 8. DISPUTES: Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Route 2 in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Massachusetts, without giving effect to any choice of law or conflict of law rules. Entrant agrees to indemnify Route 2 for all claims brought by third parties in connection with the Entrant’s submitted name, address, image, likeness, statements, biographical material. 9.
